Seller Terms and Conditions

1. Acceptance of Terms By registering as a seller, submitting a seller application, listing products, using the seller dashboard, accepting orders, or receiving payouts through Rootsy Marketplace Inc. ('Rootsy,' 'we,' 'our,' 'us'), you - whether an individual, corporation, partnership, or other legal entity - ('Seller,' 'you') agree to be legally bound by these Seller Terms & Conditions ('Terms'). If you are accepting these Terms on behalf of a corporation or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and 'you' and 'Seller' refer to that entity. These Terms incorporate by reference: Rootsy's Refund & Dispute Resolution Policy; Shipping & Fulfilment Policy; Prohibited Products & Acceptable Use Policy; Privacy Policy; and Schedule A (Seller Standards), as well as any plan, subscription, fee, payout, or operational terms displayed on the Platform. 'Platform' means the Rootsy website, mobile applications, seller dashboard, APIs, and all related tools and services provided by Rootsy. If you do not agree, you must not register as a seller, list products, or use the Platform.


2. Rootsy as Marketplace Intermediary Rootsy is an online marketplace platform connecting independent Canadian sellers with buyers ('Buyer') across Canada. Rootsy provides digital tools for seller accounts, product listings, checkout, payment processing coordination, payout coordination, logistics coordination, tracking, customer support, dispute workflows, and platform analytics. Rootsy does not manufacture, own, inspect, test, certify, store, package, warehouse, transport, or physically deliver seller products. Rootsy does not act as seller, reseller, manufacturer, importer, distributor, warehouse operator, courier, carrier, freight provider, agent, or intermediary in any transaction between Seller and Buyer, nor does it assume any role in the supply chain for seller products.  Rootsy is not a payment service provider — payment processing is performed by third-party PSPs (currently Stripe). Each sale is a direct transaction between the Seller and the Buyer, subject to Rootsy's platform rules. Rootsy does not guarantee sales volume, buyer traffic, seller profitability, search ranking, or business outcomes.


3. Independent Seller Relationship Sellers are independent contractors, whether operating as individuals, sole proprietorships, partnerships, or corporations. Nothing in these Terms creates an employment, partnership, joint venture, franchise, or agency relationship between Rootsy and the Seller or any of the Seller's officers, directors, employees, or contractors. You have no authority to bind Rootsy, represent Rootsy, or hold yourself out as an employee, agent, representative, or official of Rootsy.


4. Seller Eligibility, Registration, and Verification To sell on Rootsy, you must: (a) if an individual, be at least 18 years old and legally capable of entering into binding agreements; (b) if a corporation or other legal entity, be validly organized, existing, and in good standing under applicable Canadian law, and have the individual accepting these Terms be at least 18 years old and duly authorized to bind the entity; (c) operate a Canada-based business or lawful commercial activity; (d) provide accurate, complete, current registration information; and (e) comply with all applicable Canadian federal, provincial, territorial, and municipal laws and all Rootsy policies. Submitting an application or completing onboarding does not guarantee approval. Rootsy may approve, reject, delay, or require additional information from any seller application at its discretion. You must provide and maintain accurate: legal name (and, if applicable, corporate name and registration or incorporation number); business name; business address; contact information; GST/HST registration number (mandatory if annual revenue exceeds $30,000 under the Excise Tax Act); business registration or incorporation documents; banking and payout information; identity verification information for the individual representative; product category information; compliance confirmations; and insurance or licence documents for regulated categories. You must promptly update Rootsy if any information changes. Seller Accounts (meaning your registered account on the Platform through which you list products, manage orders, and receive payouts) ('Seller Account') are specific to the approved seller and may not be sold, transferred, assigned, or shared without Rootsy's prior written approval. By registering, you represent and warrant that: (a) all information provided is true, accurate, and complete; (b) you have full power and authority to enter into and perform these Terms; (c) your use of the Platform and sale of products does not violate any applicable law or third-party rights; (d) your products comply with all applicable Canadian product safety, labelling, and regulatory requirements; and (e) if you are a corporation or other entity, you are validly organized and in good standing under applicable law.


5. Account Security You are responsible for maintaining the confidentiality of your Seller Account login credentials and for all activity through your account. You must notify Rootsy immediately of suspected unauthorized access, fraud, or compromise.


6. Seller Obligations You agree to operate professionally, honestly, and in compliance with Rootsy policies and applicable law. Without limiting the generality of the foregoing, your obligations include those set out in Schedule A (Seller Standards) and the following:


• Provide accurate, complete, and non-misleading product listings with all required Canadian regulatory information • Maintain accurate inventory and fulfil accepted orders within required timelines • Package products safely and appropriately using correct weights and dimensions • Comply with all product safety, labelling, packaging, consumer protection, and advertising laws, including all commercially accepted requirements for product warnings, safety warnings, use instructions, cautionary labels, and packaging - and ensure full compliance with any applicable legal requirements for the content, format, and placement of such warnings, instructions, labels, and packaging for all products listed or sold on the Platform • Respond to Rootsy communications, Buyer messages, return requests, and dispute requests within 48 hours • Cooperate fully with refund, return, chargeback, dispute, shipping, product safety, and compliance processes • Use Buyer information only for order fulfilment and approved customer service purposes • Comply with Canada's Anti-Spam Legislation (CASL) — do not send commercial electronic messages to Buyers without their express or implied consent • Maintain appropriate business, tax, accounting, inventory, shipment, and compliance records • Immediately notify Rootsy if any listed or sold product becomes unsafe, recalled, restricted, non-compliant, or counterfeit


You must not: mislead Buyers; manipulate reviews; bypass Rootsy fees or systems; redirect Buyers off-platform; misuse Buyer data; list prohibited products; or interfere with Rootsy operations. Quebec Sellers and Quebec-Directed Sales. Sellers who are located in, resident in, or incorporated in Quebec, who target buyers or residents in Quebec, or who are otherwise subject to Quebec law, must comply with all applicable Quebec provincial laws in connection with their use of the Platform and their sale of products, including without limitation: (a) the Charter of the French Language and its regulations, including requirements relating to the language of product listings, contracts, labels, and consumer communications; (b) the Act respecting the protection of personal information in the private sector and any regulations thereunder, including obligations relating to privacy governance, consent, privacy impact assessments, breach notification to the Commission d'accès à l'information, and individual rights; and (c) the Consumer Protection Act and its regulations. Sellers are solely responsible for assessing and ensuring their compliance with all applicable Quebec laws and regulations. Rootsy does not provide legal advice regarding Quebec-specific compliance obligations and makes no representation that the Platform is configured to assist sellers in meeting such obligations.


7. Product Listings, Claims, and Compliance You are responsible for all product listings. Each listing must be accurate, complete, lawful, non-misleading, and include all required disclosures (ingredients, allergens, warnings, expiry where applicable, return and shipping restrictions, and any legally required product labels). Sellers are solely responsible for ensuring products comply with all applicable Canadian laws, including but not limited to: Canada Consumer Product Safety Act; Safe Food for Canadians Regulations; Food and Drugs Act; Natural Health Products Regulations; Cosmetic Regulations; Medical Devices Regulations; Pest Control Products Act; Textile Labelling Act; Canada Agricultural Products Act; and applicable provincial laws. You must not make false, misleading, unverified, exaggerated, or prohibited product claims — including unauthorized health, therapeutic, disease-treatment, or medical claims. You must have documentation to support any claim you make. Rootsy may review, edit, reject, hide, remove, restrict, or delist any listing at any time for legal, compliance, safety, quality, operational, or reputational reasons.


8. Pricing, Promotions, and Canadian Advertising Standards Pricing must be accurate, lawful, and not misleading. In accordance with the Competition Act (Canada), you must not use false, inflated, or artificial 'was' prices; fake scarcity or urgency claims; or misleading savings representations. You must have a verifiable basis for any reference price, comparison claim, or savings percentage you display. You are responsible for promotions you create, approve, or participate in. Rootsy may reject, pause, remove, or cancel promotions that are misleading, technically incorrect, or create compliance risk. Promotions do not reduce your commission, refund, chargeback, tax, or compliance obligations unless Rootsy expressly states otherwise.


9. Inventory Accuracy and Seller-Caused Cancellations You must maintain accurate inventory. If a product is listed as available, you represent that it is available for sale and fulfilment in the stated quantity. A 'Seller-Caused Cancellation' occurs when an order is cancelled because of your action, inaction, error, inaccurate inventory, or inability to fulfil. Rootsy may apply a Seller-Caused Cancellation Fee (meaning the fee charged when a Seller-Caused Cancellation occurs) ('Seller-Caused Cancellation Fee') of $15 CAD per affected order (or such other amount as Rootsy may establish from time to time with notice to sellers) (plus any non-recoverable costs) and may cancel the order, refund the buyer, adjust payouts, restrict listings, place payouts on hold, or take account action. Repeated seller-caused cancellations may result in suspension or termination.


10. Prohibited and Restricted Products You may not list, sell, promote, or ship any product that is: (a) prohibited under Rootsy's Prohibited Products & Acceptable Use Policy; (b) prohibited under applicable Canadian federal, provincial, territorial, or municipal law; or (c) determined by Rootsy in its discretion to create unacceptable legal, compliance, reputational, or platform risk. Rootsy's Prohibited Products & Acceptable Use Policy sets out the categories of prohibited and restricted products and applies in full to all Sellers. In the event of any inconsistency between these Terms and the Prohibited Products & Acceptable Use Policy with respect to prohibited or restricted products, the Prohibited Products & Acceptable Use Policy governs. Certain products are permitted only as restricted or pre-approved categories, subject to Rootsy's prior written approval, required documentation, applicable licences, permits, certifications, insurance, and compliance with all applicable Canadian laws. Restricted categories currently include, without limitation: alcohol; food and beverages; natural health products; cosmetics; medical devices; children's products; electronics; and such other categories as Rootsy may designate from time to time. The specific requirements for each restricted category are set out in the Prohibited Products & Acceptable Use Policy and any applicable addenda or supplements thereto. Rootsy may revoke approval for any restricted category at any time.


11. Subscriptions, Fees, and Commissions Rootsy charges sellers through a subscription and commission model, which are subject to change at any time.

All prices in Canadian Dollars. Subscription fees are exclusive of applicable taxes.


Rootsy may update plan pricing, commission rates, subscription features, product limits, and billing options upon not less than 15 days' prior written notice (or 30 days in the case of increases to commission rates or subscription fees). Continued use of the Platform after such changes take effect constitutes acceptance of the updated terms.


12. Billing, Renewal, and Cancellation Monthly plans are billed in advance. Annual plans are billed in advance for a twelve-month term and auto-renew unless cancelled before the renewal date. Monthly cancellations take effect at the end of the current billing period. Annual cancellations take effect at the end of the current annual term. Subscription fees are non-refundable and non-prorated upon cancellation, unless required by law. Free trials and promotional offers apply to subscription fees only and do not waive commissions, refund obligations, product compliance obligations, or tax obligations. Commission applies during all free trial periods. If payment fails, Rootsy may retry, suspend plan benefits, hide or deactivate listings, withhold or offset payouts, downgrade, expire, or terminate the account. Sellers remain responsible for unpaid amounts.


13. Payment Processing, Payouts, and Payout Holds Rootsy facilitates payouts through its payment processor, banking partners, or other approved payout systems. Payouts are calculated on completed eligible orders less: commissions; refunds; chargebacks; payout adjustments; unpaid fees; negative balances; and Seller-Caused Cancellation Fees. An order may not become eligible for payout until Rootsy has confirmed acceptance, payment, fulfilment, delivery, and resolution of any pending cancellation, refund, return, dispute, fraud review, or chargeback. Rootsy may withhold, delay, reduce, reverse, or offset payouts where there is risk of refund, return, dispute, chargeback, fraud, non-fulfilment, seller-caused cancellation, negative balance, unpaid fees, policy violation, legal or compliance concern, inaccurate seller information, or unresolved account issues. Payment processing is performed by Stripe. Stripe may impose its own verification requirements, payout timelines, reserve requirements, and risk reviews. Rootsy is not responsible for delays or failures caused by Stripe or other payment systems outside Rootsy's reasonable control.


14. Negative Balances and Cost Recovery If refunds, chargebacks, fees, or adjustments exceed amounts available for payout, you may have a negative balance. You are responsible for paying any negative balance to Rootsy. Rootsy may recover negative balances by deducting from future payouts, charging the payment method on file, requiring direct payment, withholding account access, or using other lawful recovery methods.


15. Shipping and Fulfilment Shipping is coordinated through approved third-party logistics providers. You are responsible for packaging, accurate weight and dimension declarations, correct shipping labels, timely fulfilment, and compliance with carrier requirements and the Transportation of Dangerous Goods Act (for restricted products). Details are set out in the Shipping & Fulfilment Policy. If seller error causes additional shipping charges, failed pickup, delivery failure, returned shipment, refund, dispute, or carrier penalty, Rootsy may recover related costs from you and/or your payouts.


16. Returns, Refunds, and Disputes Returns, refunds, and disputes are governed by the Refund & Dispute Resolution Policy. Buyers generally have 15 days from delivery to request a return. You must respond to return requests, refund requests, and buyer messages within 48 hours. Failure to respond may result in Rootsy resolving the matter based on available evidence. Where the return is due to seller error, defective product, incorrect item, counterfeit item, materially inaccurate listing, or similar seller-responsible issue, you may be responsible for return shipping, replacement shipping, refund amounts, and related costs. Where the return is due to Buyer preference, return shipping and the $15 Return Processing & Logistics Fee may be the Buyer's responsibility.


17. Chargebacks and Payment Disputes You must cooperate with Rootsy in all chargeback and payment dispute investigations by providing requested documentation, shipment evidence, delivery confirmation, product details, and Buyer communications. If a chargeback arises from seller conduct, inaccurate listing, failed fulfilment, defective product, or failure to provide evidence, you may be responsible for the disputed amount and related costs.


18. Seller Performance Monitoring Rootsy may monitor seller performance including: order fulfilment rate; shipment timeliness; seller-caused cancellation rate; inventory accuracy; return and refund rate; dispute and chargeback rate; response time; listing quality; product compliance; and Buyer feedback. Rootsy may establish performance thresholds from time to time.


19. Account Health Actions If seller performance is poor or high-risk, Rootsy may: issue a warning or corrective action request; restrict, hide, or remove listings; hold or adjust payouts; apply seller-caused cancellation fees; restrict product categories; reduce marketplace visibility; suspend selling privileges; report the matter to payment processors, logistics providers, relevant regulators, law enforcement authorities, or intellectual property rights holders where appropriate; or terminate the Seller Account. Rootsy may act with or without prior notice depending on urgency, risk, or legal requirements. Sellers may appeal account actions by contacting Rootsy support. Rootsy will review available evidence and may uphold, modify, reverse, or escalate its decision. Submitting an appeal does not guarantee reinstatement.


20. Intellectual Property and Rootsy Branding By uploading content, you grant Rootsy a non-exclusive, worldwide, royalty-free, sublicensable licence to use, display, reproduce, modify, format, and distribute the content for purposes related to operating, marketing, and promoting the Platform. This licence survives termination of your account solely to the extent necessary to fulfil orders in progress, for archival or legal compliance purposes, and for the continued operation of Platform features (including search indexing, analytics, and cached content) for a reasonable wind-down period not to exceed 12 months. You represent and warrant that you own or have all necessary rights to grant this licence for all content you upload. Rootsy may remove content that infringes intellectual property rights. You must not use Rootsy's name, logo, trademarks, or branding without prior written approval. You must not suggest endorsement, certification, employment, sponsorship, partnership, or franchise by Rootsy.


21. Privacy, CASL, and Buyer Data Your access to Buyer information is limited strictly to order fulfilment, customer service, returns, refunds, and approved transaction purposes. You must not use Buyer information for off-platform marketing, mailing lists, advertising, resale, profiling, or unrelated communications. You must protect Buyer information with reasonable security measures and comply with all applicable privacy, data protection, and anti-spam laws, including without limitation the Personal Information Protection and Electronic Documents Act (PIPEDA), Canada's Anti-Spam Legislation (CASL), and any applicable provincial privacy legislation. Without limiting the generality of the foregoing, you must not send commercial electronic messages to Buyers based on Rootsy transactions without a valid legal basis under applicable anti-spam laws (including express or implied consent where required) — implied consent from a commercial transaction under CASL expires after 2 years. You must maintain documented consent records. You must immediately notify Rootsy of any actual or suspected privacy breach or unauthorized access to Buyer information. Without limiting the foregoing, sellers' obligations with respect to buyer personal information are further governed by Rootsy's Privacy Policy, which forms part of these Terms by reference. In the event of any conflict between Section 21 of these Terms and the Privacy Policy with respect to seller privacy obligations, the Privacy Policy governs.


22. Insurance and Record Keeping You are responsible for maintaining appropriate insurance for your business, products, and operations. At a minimum, sellers must maintain commercial general liability insurance with coverage of not less than $2,000,000 per occurrence, and product liability insurance appropriate to the nature and volume of products sold. Rootsy may require that it be named as an additional insured on applicable policies and may request certificates of insurance at any time. Depending on product type, additional coverage may include liquor liability, professional liability, shipping, and cyber/privacy coverage. Rootsy may require proof of insurance for regulated product categories. You must maintain accurate business, tax, accounting, order, inventory, shipment, product compliance, and customer service records. Rootsy does not guarantee that platform records are sufficient for your legal or accounting obligations.


23. Taxes Sellers are responsible for understanding and complying with their own tax obligations, including GST/HST registration, PST, QST, and other applicable taxes. Rootsy may calculate, collect, or remit taxes where required by law. Rootsy does not provide tax advice. Consult your own tax advisor.


24. Limitation of Liability and Indemnity To the fullest extent permitted by law, Rootsy's total aggregate liability for any and all claims arising out of or related to these Terms or the Platform shall not exceed the total fees paid by you to Rootsy in the 6 months preceding the event giving rise to the claim. Rootsy is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of business opportunity, even if advised of the possibility of such damages. You agree to indemnify, defend, and hold harmless Rootsy and its officers, directors, employees, service providers, and representatives from and against any claims, damages, losses, costs, and legal fees (on a full indemnity basis) arising from: seller products; product defects or safety issues; product compliance failures; inaccurate listings; seller-caused cancellations; misleading claims; intellectual property infringement; seller fraud; breach of these Terms; violation of law; seller tax obligations; Buyer claims arising from seller activity; chargebacks connected to seller conduct; or mishandling, unauthorized use, unauthorized disclosure, or inadequate protection of buyer personal information received through the Platform; any actual or suspected privacy breach or data security incident involving buyer personal information; any regulatory investigation, proceeding, order, fine, or penalty arising from a seller's failure to comply with applicable privacy, data protection, or anti-spam laws in connection with buyer personal information obtained through the Platform; . Rootsy will promptly notify you of any such claim, provided that any failure or delay in providing notice does not relieve you of your indemnity obligations except to the extent you are materially prejudiced by such failure or delay. You will not settle any claim without Rootsy's prior written consent. This indemnity obligation survives termination of these Terms.


25. Account Suspension and Termination Either party may terminate these Terms upon 30 days' written notice to the other party, subject to Section 12 (Billing, Renewal, and Cancellation). Rootsy may also suspend, restrict, or terminate your Seller Account immediately and without prior notice for fraud, prohibited products, unsafe products, excessive refunds or chargebacks, repeated Buyer complaints, poor performance, privacy misuse, off-platform transactions, failure to provide documents, legal or regulatory risk, negative balance, or breach of these Terms. Cancellation, suspension, or termination does not relieve you of obligations for accepted orders, commissions, refunds, returns, chargebacks, seller-caused cancellation fees, unpaid fees, negative balances, tax records, or cooperation with Rootsy investigations. Without limiting the foregoing, Sections 13, 14, 20, 21, 22, 23, 24, 26 and 27 and any other provisions that by their nature should survive, will survive termination or expiry of these Terms.


26. Governing Law and Dispute Resolution These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles. For any court proceedings commenced in connection with these Terms that are not subject to arbitration, each party irrevocably attorns to the exclusive jurisdiction of the courts of the Province of Ontario and waives any objection to the venue or convenience of such courts. Prior to commencing arbitration, a party must first submit the dispute to Rootsy's Resolution Centre (meaning the platform feature or process through which sellers and Rootsy attempt to resolve disputes informally) ('Resolution Centre') and allow 30 days for resolution. A party may not commence arbitration until that 30-day period has elapsed without resolution, unless the parties agree in writing to waive that requirement. If not resolved within that period, the dispute shall be finally resolved by binding arbitration seated in Toronto, Ontario, conducted in English, administered under the Arbitration Rules of the ADR Institute of Canada, Inc. (ADRIC) as amended from time to time, before a single arbitrator appointed in accordance with those rules. The arbitrator shall have jurisdiction to grant any relief that a court of competent jurisdiction in Ontario could grant, including interim, interlocutory, and injunctive relief, provided that either party may seek interim or emergency relief from a court of competent jurisdiction in Ontario without waiving the right to arbitrate the underlying dispute. The arbitrator shall allocate the costs of the arbitration, including the arbitrator's fees and administrative costs, between the parties having regard to the outcome of the arbitration and the conduct of the parties. Filing Fees. The party commencing arbitration (the "Claimant") shall be solely responsible for paying any filing or administrative fee charged by ADRIC to the Claimant in connection with the commencement of the arbitration. For greater certainty, the Claimant shall not be responsible for any filing, administrative, or participation fee charged by ADRIC to the responding party (the "Respondent") in connection with the Respondent's participation in or response to the arbitration. Such fees paid by the Claimant shall be taken into account by the arbitrator in the final allocation of costs.


Advance Deposit for Arbitrator's Fees. The Claimant shall be solely responsible for advancing the full amount of any deposit required by ADRIC or the arbitrator in respect of the arbitrator's fees and expenses prior to the commencement of the hearing. The arbitrator shall take into account the deposit paid by the Claimant in making the final allocation of costs, and where the Claimant is successful, the arbitrator shall include the deposit amount in any cost award made in the Claimant's favour.


Failure to Advance Deposit. If the Claimant fails to advance the required deposit within the time specified by ADRIC or the arbitrator: (a) the proceeding may be stayed until the deposit is paid; (b) the Respondent may, but is not obligated to, advance the deposit on the Claimant's behalf, in which case such advance shall be treated as a recoverable cost in the arbitrator's final cost allocation; and (c) if the deposit remains unpaid and the Respondent does not elect to advance it, ADRIC or the arbitrator may terminate the proceeding in accordance with the applicable rules.


Cost Allocation — Good Faith Claims. Notwithstanding the arbitrator's general discretion to allocate costs, where the arbitrator determines that the Claimant's claim was brought in good faith and was not frivolous, vexatious, or an abuse of process, the arbitrator shall not make a cost award against the Claimant in an amount that exceeds the amount in dispute, regardless of the outcome on the merits. Arbitration proceedings, pleadings, evidence, submissions, awards, and outcomes are strictly confidential and shall not be disclosed by either party to any third party without the prior written consent of the other party, except as required by law, regulatory obligation, or to enforce or challenge an arbitral award before a court of competent jurisdiction. Any arbitral award rendered under this section shall be final and binding on the parties and may be entered and enforced as a judgment in any court of competent jurisdiction. No claim or dispute arising under these Terms may be brought more than two (2) years after the date on which the claiming party knew or reasonably ought to have known of the circumstances giving rise to the claim. Notwithstanding the mandatory arbitration provisions above, Rootsy may, without first submitting to the Resolution Centre process or arbitration, apply to any court of competent jurisdiction for: interim, interlocutory, or injunctive relief; enforcement of an arbitral award; recovery of unpaid amounts due and owing; remedies for intellectual property misuse or infringement; remedies arising from fraud or misrepresentation; remedies arising from privacy or data breaches; or remedies for any conduct causing or threatening irreparable harm to the Platform or Rootsy's users. Seeking such court relief does not waive Rootsy's right to pursue arbitration on the underlying dispute. All disputes arising under or in connection with these Terms shall be resolved on an individual basis only. You irrevocably waive, to the fullest extent permitted by applicable law, any right to commence, participate in, or be represented in any class action, class arbitration, collective proceeding, or representative proceeding against the other party. If a court or arbitrator of competent jurisdiction determines that this class waiver is invalid or unenforceable in respect of any particular claim or dispute, then: (a) the arbitration provisions of this Section shall not apply to that claim or dispute; (b) that claim or dispute shall be resolved exclusively by a court of competent jurisdiction in Ontario; and (c) the remainder of this Section, including the arbitration provisions and the class waiver as applied to all other claims, shall remain in full force and effect. This Section survives termination or expiry of these Terms.


27. General Provisions Force majeure: Neither party is liable for delays or failures in performance caused by natural disasters, pandemics, government actions, carrier failures, payment processor outages, labour disputes, or other events beyond its reasonable control, provided that the affected party uses commercially reasonable efforts to mitigate the impact and promptly notifies the other party. If a force majeure event continues for more than 90 days, either party may terminate these Terms upon written notice. During a force majeure event, Rootsy may suspend payouts without liability until normal operations resume. Assignment: You may not assign your rights under these Terms without Rootsy's consent. Rootsy may assign these Terms or any of its rights or obligations hereunder to an affiliate or in connection with a merger, acquisition, reorganization, or sale of its assets, without your consent. Severability: If any provision is held to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions continue in full force and effect. No waiver: No failure or delay by Rootsy in exercising any right or remedy constitutes a waiver of that right or remedy. Any waiver must be in writing and signed by Rootsy. Amendments: Rootsy may amend, modify, or update these Terms at any time by posting the revised Terms on the Platform and providing notice to Sellers via a prominent notification on the seller dashboard upon login. The "Last Updated" date at the top of the Terms will be revised accordingly. Continued use of the Platform after the updated Terms have been posted and notice provided constitutes acceptance of the amended Terms. If you do not agree with the amended Terms, your sole remedy is to terminate your account in accordance with Section 25. Entire agreement: These Terms, incorporated policies, plan terms, fee schedules, and Schedule A form the entire agreement regarding seller use of the Platform. Notices: Any notice required or permitted under these Terms must be sent by email to the addresses set out in Section 29 (for notices to Rootsy) or to the email address associated with the Seller Account (for notices to the Seller). Notices are deemed received on the business day following transmission by email.


28. Changes to These Terms Rootsy may update or amend these Terms at any time. Where Rootsy makes a material change to these Terms, Rootsy will provide reasonable advance notice by one or more of the following methods: posting a notice on the Platform; sending a notice to your registered email address; or displaying a notice through your buyer account. Your continued use of the Platform after the effective date of any update constitutes your acceptance of the updated Terms. Separate incorporated policies — including the Refund & Dispute Resolution Policy, Shipping & Fulfilment Policy, Prohibited Products & Acceptable Use Policy, and any operational, promotional, or checkout terms displayed on the Platform — may be updated at any time without advance notice. It is your responsibility to review those policies periodically. The current version of each policy is always available on the Platform. If you do not agree with any update to these Terms or an incorporated policy, you must stop using the Platform. Nothing in this section limits any right you may have under applicable consumer protection legislation.

SCHEDULE A SELLER STANDARDS

This Schedule A forms part of the Seller Terms & Conditions and consolidates the seller conduct, product standards, fulfilment expectations, and account-health requirements that apply to all sellers. Where this Schedule conflicts with the main Terms, the main Terms govern.


A1. Core Principles Sellers must operate with honesty, professionalism, accuracy, accountability, legal compliance, product safety, fair dealing, and respect for buyers and Rootsy systems.


A2. Product Listing Standards Each listing must include, where applicable: accurate product name and description; correct product category; accurate images representing only what is included; accurate price; available quantity; size, weight, colour, variants, or dimensions; ingredients and allergens; warnings and usage instructions; expiry or best-before date; product condition; brand or maker details; shipping restrictions; return restrictions; and all legally required labels or disclosures under Canadian law. Images must accurately represent the product. Images must not misrepresent size, colour, quantity, or quality; show items not included; use copyrighted images without permission; contain offensive or unlawful content; or target minors where the product is age-restricted. You must not make false, misleading, exaggerated, unsupported, or unauthorized claims — including unauthorized medical, therapeutic, disease-treatment, wellness, or drug-like claims.


A3. Fulfilment and Shipping Standards Check orders regularly and fulfil within Rootsy's required processing timelines. Package products safely using appropriate materials for the product type, fragility, weight, and delivery method. Provide accurate weight and dimensions. Use the correct shipping label for the correct package and order. Do not mark orders shipped before they are handed off to the carrier. Immediately notify Rootsy if a fulfilment issue occurs. If a seller-caused cancellation occurs, notify Rootsy as soon as possible.


A4. Buyer Communication Standards Communicate with Buyers professionally, respectfully, and only for Rootsy transaction-related purposes. Respond to return requests, refund requests, and dispute requests within 48 hours. Do not: harass, threaten, mislead, or pressure Buyers; request off-platform payment; redirect Buyers outside Rootsy; ask Buyers to avoid Rootsy's return or dispute process; or send unsolicited marketing.


A5. Prohibited Seller Conduct Sellers must not: create fake accounts or duplicate accounts to avoid enforcement; provide false business or product information; list prohibited products; list restricted products without Rootsy approval; use fake discounts, inflated reference prices, or false savings claims; manipulate reviews, ratings, or buyer feedback; misuse buyer personal information; arrange off-platform transactions or payments; upload malware or harmful code; scrape Platform data; harass buyers or Rootsy staff; or engage in any fraudulent, deceptive, abusive, or unlawful conduct.


A6. Restricted Product Standards Sellers listing restricted products (alcohol, food, natural health products, cosmetics, children's products, electronics, etc.) must: maintain all required Canadian licences, permits, registrations, and certifications; immediately notify Rootsy if a licence expires, is suspended, or is revoked; comply with product recall obligations; and cooperate with Rootsy in any compliance review or investigation.


A7. Privacy and Data Standards Use Buyer information only for Rootsy-approved transaction purposes. Comply with all applicable privacy, data protection, and anti-spam laws, including without limitation the Personal Information Protection and Electronic Documents Act (PIPEDA), Canada's Anti-Spam Legislation (CASL), and any applicable provincial privacy legislation. Do not send commercial electronic messages to Buyers using Rootsy-obtained contact information without a valid legal basis under applicable anti-spam laws (including express or implied consent where required). Do not add Buyers to mailing lists, SMS lists, or marketing systems without proper consent. Protect Buyer information with reasonable security measures. Report any suspected breach to Rootsy immediately.


A8. Performance Metrics Rootsy monitors: fulfilment rate; shipment timeliness; seller-caused cancellation rate; inventory accuracy; return and refund rate; dispute and chargeback rate; response time; listing quality; product compliance; packaging quality; and policy compliance. Poor performance may result in warnings, reduced visibility, payout holds, listing restrictions, account review, suspension, or termination.
