1. Acceptance of Terms By accessing the Rootsy platform, creating a buyer account, placing an order, or otherwise using the Rootsy website, mobile applications, and related services (collectively, the 'Platform'), you ('Buyer,' 'you') agree to be bound by these Buyer Terms & Conditions ('Terms'). These Terms incorporate by reference Rootsy's: Refund & Dispute Resolution Policy; Shipping & Fulfilment Policy; Prohibited Products & Acceptable Use Policy; Privacy Policy; and any checkout, promotional, or operational terms displayed on the Platform. If there is a conflict between these Terms and a more specific Rootsy policy, the more specific policy governs. If you do not agree to these Terms, you must not use the Platform. Rootsy may update these Terms at any time. Continued use after updates constitutes acceptance. Nothing in these Terms limits or excludes any right you may have under applicable consumer protection law.


2. Rootsy as Marketplace Intermediary Rootsy is an online marketplace platform that connects independent Canadian sellers with buyers across Canada. Rootsy provides digital tools - including product browsing, seller account management, checkout, payment processing coordination, payout coordination, order management, shipping and logistics coordination, tracking, refund workflows, dispute support, and platform analytics - but does not manufacture, own, inspect, test, certify, store, package, warehouse, or physically deliver products listed by sellers. Rootsy is not a payment service provider - payment processing is performed by third-party PSPs (currently Stripe). Each sale is a direct transaction between the Seller and the Buyer, subject to Rootsy's platform rules. Each purchase is a direct transaction between you and the applicable independent seller, subject to Rootsy's platform rules. Rootsy facilitates the transaction but is not the seller, manufacturer, importer, distributor, carrier, or product owner. Rootsy does not act as seller, and Rootsy's facilitation does not transfer seller product liability to Rootsy.


3. Buyer Eligibility and Account Responsibilities To use Rootsy as a buyer, you must: (a) be at least 18 years old; (b) reside in Canada; (c) provide accurate, complete, and current account and delivery information; and (d) be legally capable of entering into binding agreements under applicable Canadian federal, provincial, territorial, and municipal law. You are responsible for all activity through your buyer account, including orders, payments, messages, return requests, and disputes. You must notify Rootsy immediately if you suspect unauthorized account access. You must provide accurate, current information. Rootsy may suspend or terminate accounts where information is false or misleading, where fraud is suspected, or where these Terms are breached.


4. Product Listings and Availability Product listings - including descriptions, images, prices, availability, ingredients, allergens, warnings, usage instructions, expiry or best-before dates, product condition, brand or maker details, shipping restrictions, and return restrictions - are provided by independent sellers. Rootsy may moderate listings but does not guarantee the accuracy, completeness, safety, legality, or quality of any listing. Buyers must review all listing details before purchasing, including any legally required labels or disclosures under Canadian law. Product availability may change after listing. If a seller cannot fulfil an order, Rootsy or the seller may cancel all or part of the order and issue a refund per the Refund & Dispute Resolution Policy. Rootsy does not guarantee that any product will remain available after being added to cart.


5. Pricing, Taxes, and Checkout All prices are in Canadian Dollars. Rootsy will not add undisclosed mandatory charges after you submit payment, except where required by an order adjustment you requested, an address error, a failed delivery, or another circumstance disclosed in these Terms or Rootsy policies. Buyers are responsible for reviewing the full checkout total before submitting payment. Taxes may be calculated based on product type, seller location, buyer location, and applicable law. Rootsy may correct pricing errors and, where an error affects an order, may cancel the order, adjust it where permitted, or issue a refund.


6. Orders and Payment Placing an order does not guarantee acceptance. Orders are subject to seller acceptance, payment approval, inventory confirmation, and platform checks. An order becomes final when accepted, paid, and confirmed through the Platform. By placing an order, you authorize Rootsy and its payment providers to process the payment for the order total. Payment processors may impose their own risk checks, declined-payment rules, and authentication requirements. Rootsy is not responsible for payment declines, authorization holds, or bank delays outside Rootsy's reasonable control. Where an order involves multiple sellers, items may fulfil separately with separate shipping timelines, return eligibility, and dispute handling. If one seller portion is cancelled, other items may proceed. Where an order is cancelled due to a seller-caused cancellation - including seller error, inaccurate inventory, or failure to fulfil - Rootsy will issue a refund to the original payment method. The seller may be subject to a separate seller-caused cancellation fee under the Seller Terms & Conditions.


7. Shipping and Delivery Shipping is coordinated through approved third-party logistics providers, carriers, and couriers. Rootsy is not the carrier. Shipping details are set out in the Shipping & Fulfilment Policy. You are responsible for providing a complete, accurate, and deliverable shipping address. Rootsy, sellers, and carriers are not responsible for delivery issues caused by incorrect, incomplete, or inaccessible buyer-provided information. If a package is returned because of buyer-caused address errors or refusal of delivery, you may be responsible for original shipping, return shipping, and reshipment costs. Delivery timelines are estimates only. Risk of loss for an order transfers to you when the carrier accepts physical possession of the package from the seller. Rootsy does not guarantee refunds for packages marked delivered by the carrier where loss results from theft, unsecured delivery locations, incorrect addresses, or buyer unavailability.


8. Returns and Refunds Returns and refunds are governed by the Refund & Dispute Resolution Policy and any applicable seller return settings disclosed before purchase. You generally have 15 days from delivery to request a return, subject to product type, seller policy, and applicable law. Where a return is due to buyer preference (including but not limited to a change of mind, incorrect size selection, buyer remorse, ordering error, or similar buyer-controlled reason), the Return Processing & Logistics Fee of $15 CAD and return shipping costs may apply. Where a return is due to seller error, defective product, incorrect item, counterfeit item, materially inaccurate listing, or product materially not as described, Rootsy will waive the return processing fee and the seller may be responsible for return shipping costs. Refunds are issued to the original payment method. Refund processing times depend on payment processor and bank timelines. Rootsy will process approved refunds within a reasonable time. Approval of a return request does not guarantee a full refund - returned items may be inspected and refunds adjusted based on condition and return reason. Your statutory rights under applicable consumer protection laws are preserved. Nothing in these Terms limits rights that cannot be limited by contract.


9. Disputes and Chargebacks If an issue cannot be resolved directly with a seller, you may escalate to Rootsy's Resolution Centre (the platform feature or process through which buyers and Rootsy attempt to resolve disputes). Rootsy will review available evidence and issue a decision. Rootsy's decision is final within its internal resolution process, subject to your statutory rights under applicable consumer protection law. You should contact Rootsy before initiating a chargeback with your bank or card issuer. If a chargeback is filed, Rootsy may suspend refund processing and provide evidence to the payment processor. Chargeback abuse, duplicate refund requests, false claims, empty-box claims, or item-switching claims may result in loss of buyer protections, account restriction, or termination.


10. Prohibited Purchases You may not purchase, request, or attempt to obtain products that are prohibited under Rootsy's Prohibited Products & Acceptable Use Policy or Canadian law, which you should carefully review. Prohibited product categories include, without limitation: firearms, weapons, ammunition, and explosives; illegal drugs, controlled substances, and drug paraphernalia; cannabis and cannabis products; tobacco and nicotine products; recalled, unsafe, and non-compliant products; counterfeit, stolen, replica, and unauthorized branded goods; prescription medications and unauthorized health products; adult, sexual, obscene, and exploitative products; hate, violence, harassment, and extremist products; live animals, wildlife, and prohibited animal products; financial products, securities, and money transmission services (unless expressly approved); government-issued identification documents, credentials, and licences; stolen personal information, malware, spyware, hacking tools, and unauthorized surveillance devices; and hazardous, toxic, radioactive, or dangerous materials (unless expressly approved). Certain restricted products may only be purchased where Rootsy has approved their sale and all applicable compliance requirements have been met. Restricted categories include, without limitation: alcohol and alcoholic beverages; food and non-alcoholic beverages; natural health products, supplements, and wellness products; cosmetics, personal care, and beauty products; medical devices; children's, baby, and regulated consumer products; electronics, batteries, and high-value or fragile goods; and such other categories as Rootsy may designate from time to time. Rootsy may cancel orders for prohibited or restricted products and, where appropriate, report the matter to applicable authorities. 11. Buyer Conduct You must use the Platform lawfully, honestly, and respectfully. You must not: provide false or misleading information; provide false identity or delivery information; use stolen payment methods; place fraudulent orders; engage in chargeback abuse; abuse return or refund processes; submit empty-box or item-switching claims; make false claims; attempt to bypass age verification checks; harass sellers or Rootsy staff; manipulate reviews or ratings; bypass Rootsy payment or shipping systems; solicit off-platform transactions; scrape or misuse Platform data; or use the Platform for unlawful or harmful activity. Violations may result in order cancellation, refund denial, account restriction, suspension, termination, or legal action.


12. Reviews, Ratings, and Feedback Reviews must be truthful, based on genuine experience, and not misleading, abusive, or fraudulent. You must not post fake reviews, manipulate ratings, or include content that is hateful, harassing, or unlawful. Rootsy may remove reviews that violate its policies.


13. Promotions, Coupons, and Discounts Promotions are subject to their stated terms and may be changed, limited, or withdrawn. Promotions may not be combined unless expressly stated. Rootsy may cancel promotional benefits where there is fraud, abuse, technical error, or violation of promotion terms.


14. Intellectual Property All Rootsy trademarks, logos, designs, software, and platform content are owned by or licensed to Rootsy. You may not copy, reproduce, distribute, scrape, reverse engineer, or commercially exploit Rootsy content without prior written permission. You may not use the Platform to infringe the intellectual property rights of others.


15. Privacy and Communications Rootsy collects, uses, and discloses your personal information in accordance with its Privacy Policy, which complies with applicable privacy law. The Privacy Policy is incorporated into these Terms by reference. Your privacy rights. Subject to applicable law, you have the right to: request access to the personal information Rootsy holds about you; request correction of inaccurate or incomplete information; withdraw consent to uses of your personal information where Rootsy relies on consent; and submit a privacy complaint to Rootsy's Privacy Officer or, if unresolved, to the Office of the Privacy Commissioner of Canada (www.priv.gc.ca). To exercise these rights, contact privacy@rootsy.ca [or contact@rootsy.ca]. Cross-border processing. Some of Rootsy's service providers - including payment processors, email delivery, SMS, support, and analytics providers - process personal information in the United States. When your personal information is processed outside Canada, it may be subject to the laws of that country, including lawful access by courts, law enforcement, and government authorities. By using the Platform, you acknowledge that personal information transferred to US-based service providers may be subject to such access. Breach notification. If Rootsy becomes aware of a security breach involving your personal information that may create a real risk of significant harm, Rootsy will notify you and the applicable regulator as required by law. Marketing communications. Rootsy may send transactional and operational communications related to your orders, account, and support without separate consent. Marketing and promotional communications will only be sent where you have provided CASL-compliant consent. You may unsubscribe from marketing at any time. Unsubscribing does not affect transactional messages. No sale of personal information. Rootsy does not sell, rent, or trade your personal information to third parties for their own commercial purposes.


16. Platform Access and Availability Rootsy grants you a limited, revocable, non-transferable licence to access and use the Platform for lawful buyer purposes. Rootsy may temporarily suspend or modify the Platform for maintenance, updates, or security without liability, except to the extent required by law.


17. Disclaimers The Platform is provided on an 'as is' and 'as available' basis. Rootsy does not guarantee product quality, safety, legality, authenticity, delivery timing, carrier performance, or uninterrupted service. Nothing in these Terms limits, excludes, or waives any consumer rights, statutory warranties, or protections that cannot be limited under applicable law.


18. Limitation of Liability To the fullest extent permitted by law, Rootsy's total liability for any claim arising out of these Terms or your use of the Platform shall not exceed the value of the order giving rise to the claim. Rootsy is not liable for indirect, incidental, special, consequential, or punitive damages. Nothing in these Terms limits liability that cannot be limited under applicable law.


19. Indemnity You agree to indemnify, defend and hold harmless Rootsy and its officers, employees, service providers, and representatives against claims, damages, losses, costs, and legal fees arising from: your misuse of the Platform; your breach of these Terms; your violation of law; fraudulent orders; payment abuse; chargeback abuse; return or refund abuse; false or misleading claims; or infringement of intellectual property rights.


20. Account Suspension and Termination Rootsy may suspend, restrict, or terminate your account at any time where Rootsy determines action is necessary, including for fraud, payment abuse, chargeback abuse, return abuse, prohibited or unsafe product activity, excessive refunds or chargebacks, repeated complaints, privacy misuse, off-platform transactions, policy violations, account security concerns, failure to provide required information or documentation, or breach of these Terms. Rootsy may act without prior notice where urgency, risk, or legal requirements require it.


21. Governing Law and Dispute Resolution These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles. For any court proceedings commenced in connection with these Terms that are not subject to arbitration, each party irrevocably attorns to the exclusive jurisdiction of the courts of the Province of Ontario and waives any objection to the venue or convenience of such courts.


Prior to commencing arbitration, you must first submit the dispute to Rootsy's Resolution Centre (the platform feature or process through which buyers and Rootsy attempt to resolve disputes informally) and allow 30 days for resolution. A dispute may not proceed to arbitration until that 30-day period has elapsed without resolution, unless the parties agree in writing to waive that requirement. If not resolved within that period, the dispute shall be finally resolved by binding arbitration seated in Toronto, Ontario, conducted in English, administered under the Arbitration Rules of the ADR Institute of Canada, Inc. (ADRIC) as amended from time to time, before a single arbitrator appointed in accordance with those rules. The arbitrator shall have jurisdiction to grant any relief that a court of competent jurisdiction in Ontario could grant, including interim, interlocutory, and injunctive relief, provided that either party may seek interim or emergency relief from a court of competent jurisdiction in Ontario without waiving the right to arbitrate the underlying dispute. The arbitrator shall allocate the costs of the arbitration, including the arbitrator's fees and administrative costs, between the parties having regard to the outcome of the arbitration and the conduct of the parties.


Filing Fees. The party commencing arbitration (the 'Claimant') shall be solely responsible for paying any filing or administrative fee charged by ADRIC to the Claimant in connection with the commencement of the arbitration. The Claimant shall not be responsible for any filing, administrative, or participation fee charged by ADRIC to the responding party. Such fees paid by the Claimant shall be taken into account by the arbitrator in the final allocation of costs.


Advance Deposit for Arbitrator's Fees. The Claimant shall be solely responsible for advancing the full amount of any deposit required by ADRIC or the arbitrator in respect of the arbitrator's fees and expenses prior to the commencement of the hearing. The arbitrator shall take into account the deposit paid by the Claimant in making the final allocation of costs, and where the Claimant is successful, the arbitrator shall include the deposit amount in any cost award made in the Claimant's favour.


Failure to Advance Deposit. If the Claimant fails to advance the required deposit within the time specified by ADRIC or the arbitrator: (a) the proceeding may be stayed until the deposit is paid; (b) the Respondent may, but is not obligated to, advance the deposit on the Claimant's behalf, in which case such advance shall be treated as a recoverable cost in the arbitrator's final cost allocation; and (c) if the deposit remains unpaid and the Respondent does not elect to advance it, ADRIC or the arbitrator may terminate the proceeding in accordance with the applicable rules. Cost Allocation - Good Faith Claims. Notwithstanding the arbitrator's general discretion to allocate costs, where the arbitrator determines that the Claimant's claim was brought in good faith and was not frivolous, vexatious, or an abuse of process, the arbitrator shall not make a cost award against the Claimant in an amount that exceeds the amount in dispute, regardless of the outcome on the merits.


Arbitration proceedings, pleadings, evidence, submissions, awards, and outcomes are strictly confidential and shall not be disclosed by either party to any third party without the prior written consent of the other party, except as required by law, regulatory obligation, or to enforce or challenge an arbitral award before a court of competent jurisdiction. Any arbitral award rendered under this section shall be final and binding on the parties and may be entered and enforced as a judgment in any court of competent jurisdiction. No claim or dispute arising under these Terms may be brought more than two (2) years after the date on which the claiming party knew or reasonably ought to have known of the circumstances giving rise to the claim, subject to the following: Notwithstanding the mandatory arbitration provisions above, Rootsy may, without first submitting to the Resolution Centre process or arbitration, apply to any court of competent jurisdiction for: interim, interlocutory, or injunctive relief; enforcement of an arbitral award; recovery of unpaid amounts due and owing; remedies for intellectual property misuse or infringement; remedies arising from fraud or misrepresentation; remedies arising from privacy or data breaches; or remedies for any conduct causing or threatening irreparable harm to the Platform or Rootsy's users. Seeking such court relief does not waive Rootsy's right to pursue arbitration on the underlying dispute.


All disputes arising under or in connection with these Terms shall be resolved on an individual basis only. You irrevocably waive, to the fullest extent permitted by applicable law, any right to commence, participate in, or be represented in any class action, class arbitration, collective proceeding, or representative proceeding. If a court or arbitrator of competent jurisdiction determines that this class waiver is invalid or unenforceable in respect of any particular claim or dispute, then: (a) the arbitration provisions of this Section shall not apply to that claim or dispute; (b) that claim or dispute shall be resolved exclusively by a court of competent jurisdiction in Ontario; and (c) the remainder of this Section, including the arbitration provisions and the class waiver as applied to all other claims, shall remain in full force and effect. Nothing in this paragraph limits or waives any right you have under applicable consumer protection legislation. This Section survives termination or expiry of these Terms. Nothing in this section limits or waives any right you have under applicable consumer protection legislation.


22. General Provisions Force majeure. Rootsy is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, epidemics, carrier failures, payment processor outages, government actions, cyberattacks, or other events outside Rootsy's reasonable control. Rootsy will use commercially reasonable efforts to mitigate the impact of any such event and will notify you within a reasonable time where such an event materially affects your order or account. Assignment. You may not assign your rights under these Terms without Rootsy's consent. Rootsy may assign its rights in connection with a merger, acquisition, or sale of assets. Severability. If any provision is found invalid or unenforceable, it will be severed to the minimum extent necessary. Remaining provisions continue in force. No waiver. Rootsy's failure to enforce any provision is not a waiver of that right. Any waiver by Rootsy must be in writing to be effective. Entire agreement. These Terms, together with all incorporated Rootsy policies, form the entire agreement between Rootsy and you regarding buyer use of the Platform. If there is a conflict between these Terms and a signed written agreement with Rootsy, the signed agreement governs. Notices. Any formal notice from you to Rootsy required or permitted under these Terms must be sent by email to contact@rootsy.ca. Notices from Rootsy to you will be sent to the email address associated with your buyer account. Notices are deemed received on the business day following transmission by email.


23. Changes to These Terms Rootsy may update or amend these Terms at any time. Where Rootsy makes a material change to these Terms, Rootsy will provide reasonable advance notice by one or more of the following methods: posting a notice on the Platform; sending a notice to your registered email address; or displaying a notice through your buyer account. Your continued use of the Platform after the effective date of any update constitutes your acceptance of the updated Terms. Separate incorporated policies - including the Refund & Dispute Resolution Policy, Shipping & Fulfilment Policy, Prohibited Products & Acceptable Use Policy, and any operational, promotional, or checkout terms displayed on the Platform - may be updated at any time without advance notice. It is your responsibility to review those policies periodically. The current version of each policy is always available on the Platform. If you do not agree with any update to these Terms or an incorporated policy, you must stop using the Platform. Nothing in this section limits any right you may have under applicable consumer protection legislation.
